Our M&A lawyers take a comprehensive approach to guiding our clients through the M&A process. Our team of lawyers begins by understanding the business and emotional motivations behind a particular deal. We then participate in the initial negotiations, and draft non-disclosure agreements to protect confidential and proprietary information shared during the negotiation process.
We conduct legal due diligence. When we have a broad framework of consensus with both parties, we assist in structuring the transaction, and drafting of the merger agreement, or sale and purchase agreement.
For deals involving players within the same industry or space, there may be additional regulatory and antitrust clearance requirements. If either party is a foreign entity, we will consider cross-border implications, as the deal could be subject to foreign law. We work closely with a network of leading law firms worldwide to give the best advice to support the deal. This support goes all the way to contract signing of the merger agreement or sale documentation.
Oftentimes, post transaction there may be a lot of integration and support required, and we provide these services usually in the form of shareholder agreements, employment agreements, human resource advisory, data protection policies, contract review and other forms of compliances advisories. This ensures that our clients receive the support they need to smoothly integrate their newly acquired assets.
IRAS Updates on M&A Allowance
The IRAS Mergers & Acquisitions (M&A) Scheme encourages Singapore companies, particularly small and medium sized enterprises, to grow their busines through acquisitions. A Singapore company that makes a qualifying acquisition of the ordinary shares of another company may enjoy an M&A allowance on the purchase consideration, stamp duty relief on the share transfer instrument, and double tax deduction on transaction costs for qualifying acquisitions up to 31 Dec 2025.
