Kevin Chua is a Senior Director at Yuen Law and Head of the Fintech and Financial Services Regulatory team in the Corporate Practice Group. Kevin is recognised among Singapore’s top Fintech lawyers and is ranked in Chambers FinTech 2026.
During his distinguished career of over 20 years in both public service and private practice, Kevin has developed a depth and breadth of expertise in corporate and commercial law, and a special focus on regulatory laws and compliance. Kevin’s practice encompasses advising on fund formation, fund documentation, conduct-of-business requirements, licensing and exemption applications, digital token matters, distribution of financial products, outsourcing and technology arrangements, commercial agreements, mergers and acquisitions, and strategic corporate investments.
Kevin also guides organisations on the development of compliance frameworks, including AML/CFT/PF policies, and customer-facing documentation. He has substantial experience engaging with the Monetary Authority of Singapore on regulatory approvals, supervisory matters, and exemption regimes.
His public sector record saw him serving in the Attorney-General’s Chambers, the Accounting and Corporate Regulatory Authority (ACRA) and the Monetary Authority of Singapore. He had a critical role in the team (secretariat) overseeing the 2003 amendments to the Companies Act, among other legislation administered by ACRA, where he held management positions in the Compliance Division and the Registration Division.
Kevin later joined MAS, and became one of its Assistant General Counsels. Advising on a spectrum of legal issues, his responsibilities centred particularly on investment agreements, commercial contracts, and government tenders.
He brings to the table practical counsel gleaned from stints in a Big Four law firm, as Head of Regulatory Practice in a boutique law firm ranked in The Legal 500 for its work in financial services regulation, as well as in-house counsel at an MNC. Kevin is steeped in on-the-ground legalities that impact to clients at every level of business, from solopreneurs and startups, to SMEs and MNCs.

Investment Funds
- Advised licensed fund managers in relation to investment management and drafting legal documentation for investment funds managed by them.
- Advised variable capital companies on their documentation, corporate governance and investment transactions.
- Advised a fund manager in drafting a Private Placement Memorandum that introduced flexible subscription options allowing payments in USD, stablecoins (USDT, USDC), in kind, or other forms, with mechanisms for currency conversion and deduction of related charges prior to investment. We also advised on “Side Pocket” investments to be made by the VCC and drafted the relevant provisions in the fund documentation.
- Advised a fund manager on partnering with a US-based fund manager which would act as a sub-advisor and subject matter expert on investments in the USA. In addition to drafting the fund documentation, we also advised on the regulatory aspects of personnel transfers (from the US) and appointment of representatives under the Securities and Futures Act.
- Advised a fund structured as a VCC as it sought to receive subscriptions in the form of cryptocurrencies for its targeted investments as well as its fund-of-funds investments.
- Advised a fund structured as a VCC on amending the private placement memorandum for the special-purpose vehicle and helped initiate the process to change the management shareholder.
- Assisted a fund in constituting its Investor Advisory Committee, including reviewing and revising the Investor Advisory Committee Agreement to ensure alignment with the fund’s governance framework and investor rights.
Fintech and Financial Services Regulatory
- Advised global financial institutions on their applications for major and standard payment institution licenses under the Payment Services Act.
- Advised companies and businesses dealing in payment services and cryptocurrencies (digital payment tokens), including assistance with applications for licences, and assistance in structuring and developing their business models.
Capital Markets
- Advised Damson Fund Management Pte Ltd in successfully obtaining its Capital Markets Services License under the Securities and Futures Act.
- Advising capital markets services licence holders, including fund managers, on statutory requirements and obligations, and assisting them with their compliance processes.
Mergers and Acquisitions
- Advised Ezy Net, a payments provider, in its SGD 103.6 million acquisition of DCS Card Centre (formerly Diners Club Singapore), a strategic move to expand its offerings in fintech and crypto-enabled payment solutions.
- Advised on the management buyout of IWC Management (fka Xin Fund Management), a licensed fund management company, ensuring regulatory approvals.
Corporate & Venture Capital
- Advised Indian companies on the legal structure of their groups and re-domiciliation of their headquarters to Singapore.
- Advised on seed and series funding for an agri-tech group, various fintech start-up companies, and venture capital firms, with a focus on their regulatory and compliance needs.
