Loan Structuring and Term Sheet Review

Yuen Law's banking lawyers advise corporate borrowers on the structuring of loans and other debt financing transactions, working through facility structures, covenants, conditions precedent and drawdown mechanics. Before a facility is finalised, the team reviews term sheets and financing proposals from the borrower's side, flagging onerous covenants and cross-default provisions, and negotiates amendments where needed.

Acquisition Finance

Where a transaction is funded in part by debt, Yuen Law structures the financing side of a takeover or acquisition within the same Corporate Practice handling the deal, coordinating facility documentation with the underlying sale and purchase agreement so both work together on completion.

Asset and Asset-Backed Financing

Where a borrower's facility involves a foreign lender, Yuen Law is engaged on the borrower's instructions to issue legal opinions on the Singapore law aspects of the transaction, giving the foreign lender the assurance it needs to complete.
